These Terms of Service govern your use of the services provided by Dealer Sales LLC, including dealersales.co and the DealerDrive platform at dealerdrive.us. By engaging our services or creating an account, you agree to these Terms.

1. Services

Dealer Sales LLC provides digital marketing services for US auto dealerships, including:

  • SEO, PPC, and paid advertising management (Facebook, Instagram, Google Vehicle Ads / Performance Max, TikTok)
  • Vehicle inventory feed management and distribution to Facebook Catalog, Google Merchant Center, and marketplace platforms
  • Customer lead capture, scoring, and CRM delivery via ADF/XML
  • Google Business Profile and online reputation management
  • Social media content scheduling and publishing
  • Dealership website development and optimization
  • AI-powered performance insights and reporting

2. Google Ads API Services

When you connect your Google Ads account via OAuth, Dealer Sales LLC accesses the Google Ads API on your behalf using the following services:

  • CampaignService & AssetGroupService — to create Performance Max campaigns with your vehicle inventory as asset groups
  • CampaignBudgetService — to enforce your daily budget cap
  • ConversionActionService — to create lead form and phone call conversion actions
  • GoogleAdsService — to retrieve campaign performance metrics for your dashboard
  • CustomerService — to manage your account within our Manager Account (MCC) structure

Your ad spend goes directly to your Google Ads account. You may revoke our access at any time through your Google Account security settings or our platform settings.

3. Meta Ads Services

When you connect your Meta ad account via OAuth, we access the Meta Ads API to create and manage Facebook and Instagram catalog ad campaigns, upload your vehicle inventory to your Facebook Catalog, and retrieve campaign performance data. All ad spend goes directly to your Meta ad account.

4. Account Responsibilities

  • Provide accurate, up-to-date vehicle inventory and dealership information
  • Maintain valid payment for subscription services
  • Maintain confidentiality of account credentials
  • Ensure connected ad accounts have sufficient funds and are in good standing
  • Comply with terms of service of connected platforms (Google, Meta, etc.)
  • Comply with all applicable federal, state, and local laws

5. Ad Management Authorization

By connecting your ad accounts, you authorize Dealer Sales LLC to create, modify, pause, and delete campaigns within your connected accounts as directed by your settings and our optimization systems. You retain full ownership of your ad accounts and may revoke our access at any time. We are not responsible for ad disapprovals or policy violations imposed by Meta or Google.

6. Billing & Subscriptions

Services are provided on a monthly subscription basis with automatic renewal. Subscription fees are non-refundable. If you cancel mid-period, access continues until the end of the billing period. We reserve the right to change pricing with 30 days advance notice. Ad spend charges are separate and go directly to your ad accounts.

7. Data Ownership

You own your dealership data. We do not claim ownership of your data. You grant us a limited license to process your data solely for providing the services, which terminates when you close your account.

8. Acceptable Use

You agree not to use our services to publish false or deceptive advertising, violate any applicable law, reverse engineer our platform, or attempt unauthorized access to our systems.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE ANY SPECIFIC ADVERTISING PERFORMANCE, LEAD VOLUME, OR REVENUE OUTCOMES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALER SALES LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Termination

You may cancel at any time by emailing [email protected]. We may suspend accounts that violate these Terms or fail to pay fees. Upon termination, your data is retained for 30 days during which you may request an export.

12. Governing Law

These Terms are governed by the laws of the State of California. Disputes shall be submitted to binding arbitration in Los Angeles, California under the AAA Commercial Arbitration Rules.

13. Changes to These Terms

We may update these Terms with 30 days advance notice via email. Continued use after the effective date constitutes acceptance.
